Usage Rights Agreement

Introduction

This Licensing Agreement outlines the terms under which Tonakayo ("we," "us," or "our") grants usage rights for our digital goods, including original music, samples, MIDI files, loops, software, web pages, and media content. Users must agree to these terms upon purchase or use of our digital goods.

Types of Digital Goods

Our digital goods include:

  • Original music, samples, MIDI files, and loops.

  • Software and web page licenses.

  • Specific media content.

Usage Rights

Usage rights are determined and specified at the time of purchase and may include personal or commercial use.

Restrictions

Users of our digital goods are subject to the following restrictions:

  • No redistribution without explicit permission.

  • No modification unless permitted.

  • Additional restrictions may apply based on specific goods.

Artist Permissions for Live Streams

Artists who wish to have their songs played on our live streams must complete a form that includes a checkbox. By selecting this checkbox, artists grant us full permission to use their songs, acknowledging that any revenue generated from the live stream is solely for us, as we do not charge artists to play their songs on our free stream.

Management of Permissions

Permissions and agreements are tracked using an Excel sheet. Acceptance of terms is implied through the purchase of our digital goods or completion of the artist form.

Duration and Revocation of Licenses

Licenses are indefinite but may be revoked if terms are violated. Specifically, if a song gains substantial streams exceeding 100,000 across platforms, a fee of 10% from any generated revenue will be applied.

Compliance and Enforcement

We ensure compliance through regular monitoring. Consequences for non-compliance include:

  • Banning from our live streams

  • Retention of revenue generated from music in case of licensing violations
